Vectronix acquires Thermal Imaging Business

Vectronix Completes Acquisition of Thermal Imaging Business

Leesburg, VA, February 7, 2012 – Vectronix Inc., a subsidiary of Vectronix AG, Switzerland, announced today that it has successfully closed the transaction to acquire the thermal imaging business unit of Irvine Sensors Corporation - ISC8 (OTCBB Symbol: IRSN). Previously, the now acquired thermal imaging division provided products to Optics 1, Inc., also a subsidiary of Vectronix, as part of a long-term teaming agreement.

This transaction has been approved by the Company's Board of Directors earlier. Today, all customary terms and conditions, including approval by the Committee on Foreign Investment in the United States (CFIUS) and by the Company's stockholders have been met.

The acquisition of this Thermal Imaging business will provide Vectronix with direct access to leading technologies and core competencies in the field of Thermal Imaging, an area of high strategic importance for the Company. ISC8 will continue its focus on its core stacking technology and opportunities in the field of cyber security.
